By accessing and using the disencaads education analytics platform and related services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User", "Client", or "you") and disencaads Ltd ("disencaads", "we", "us", or "our").
If you do not agree to these Terms, you must not access or use our services. If you are entering into this agreement on behalf of an organisation, you represent and warrant that you have the authority to bind such organisation to these Terms.
disencaads provides online education engagement analytics platforms designed to help educational institutions analyse student engagement, track learning outcomes, and improve educational effectiveness. Our services include data analytics, reporting tools, dashboard interfaces, and related educational technology solutions.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to users.

Your privacy and the protection of educational data are paramount to us. Our collection, use, and protection of personal data are governed by our Privacy Policy, which forms an integral part of these Terms. You acknowledge that educational data may be subject to specific regulatory requirements, and you agree to ensure compliance with all applicable data protection laws, including GDPR.
All content, software, technology, and materials provided through our platform, including but not limited to text, graphics, logos, algorithms, and software code, are the intellectual property of disencaads or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable licence to use our platform for its intended educational purposes. You may not:
Use of our platform is subject to the payment terms specified in your service agreement. Fees are typically charged on a monthly or annual basis as agreed upon during registration. All fees are non-refundable unless otherwise specified in your service agreement or required by applicable law.
We reserve the right to modify our pricing with reasonable advance notice to existing customers.
To the fullest extent permitted by applicable law, disencaads shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.
Our total liability to you for all claims arising out of or relating to these Terms or your use of our services shall not exceed the amount paid by you to disencaads in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.
Whilst we strive to maintain continuous service availability, we do not guarantee that our platform will be available at all times. We may experience downtime for maintenance, updates, or due to circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.
You agree to indemnify, defend, and hold harmless disencaads and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or relating to your use of our services, violation of these Terms, or infringement of any rights of another party.
These Terms shall be governed by and construed in accordance with the laws of Cyprus, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Cyprus.
For users located in other European Union member states, nothing in this clause shall deprive you of the protection afforded by provisions that cannot be derogated from by agreement by virtue of the law of your country of residence.
In the event of any dispute arising from these Terms or your use of our services, we encourage you to first contact us directly to seek a resolution. If a dispute cannot be resolved through direct communication, it shall be resolved through binding arbitration in accordance with Cyprus arbitration law.
Either party may terminate this agreement with thirty (30) days written notice. We may immediately terminate or suspend your access to our services if you breach these Terms or engage in any conduct that we reasonably believe violates applicable law or is harmful to other users.
Upon termination, your right to use our services will cease immediately. We will provide you with reasonable opportunity to export your data, subject to our data retention policies and applicable legal requirements.
Provisions of these Terms that by their nature should survive termination shall remain in effect after termination, including intellectual property rights, limitation of liability, and governing law clauses.
We reserve the right to modify these Terms at any time. We will provide notice of material changes through our platform or via email. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
If you do not agree to any modifications, you must discontinue use of our services and may terminate your account in accordance with the termination provisions above.
If any provision of these Terms is found to be unenforceable or invalid, such provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
These Terms, together with our Privacy Policy and any additional terms specific to your service plan, constitute the entire agreement between you and disencaads regarding your use of our services and supersede all prior agreements and understandings.
